Fees and Payment Terms

The Client agrees to:

  • Payment Terms: Invoices are due upon receipt unless otherwise specified. Late payments may result in penalties and immediate suspension of services.
  • Expenses: Any additional expenses incurred will be pre-approved by the Client and invoiced accordingly.

Intellectual Property Rights

The Client agrees to:

  • Ownership: All intellectual property rights in materials provided by the Client remain with the Client. Materials created by Jaguarundi Digital during the provision of services will be owned by the Company until full payment is received, at which point ownership will transfer to the Client. Website Rentals created by Jaguarundi Digital are owned by the Company and have 100% ownership to those websites, regardless of whether the website is rented out to a client or not.
  • License: The Client grants Jaguarundi Digital a limited, non-exclusive license to use Client materials solely for the purpose of providing the services.
  • Expenses: Any additional expenses incurred will be pre-approved by the Client and invoiced accordingly.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the services. This obligation will survive the termination of these Terms.

Limitation of Liability

To the fullest extent permitted by law, Jaguarundi Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Any unauthorized access to or use of our servers and/or any personal information stored therein;
  • Any interruption or cessation of transmission to or from our services.

The Client agrees to indemnify and hold harmless Jaguarundi Digital, its affiliates, and their respective officers, agents, partners, and employees, from and against any losses, liabilities, claims, demands, damages, expenses, or costs arising out of or related to:

  • The Client’s use of our services;
  • The Client’s violation of these Terms;
  • The Client’s violation of any rights of another party.

Term and Termination

  • Term: These Terms commence on the date services begin and continue until terminated by either party.
  • Termination: Either party may terminate the services with written notice if the other party breaches any material term of these Terms and fails to remedy the breach within 14 days of receiving notice.
